1. Introduction

These Terms & Conditions apply to the sale and supply of goods by Stonebridge Builders Merchants Ltd, company number 16046212, trading as Stonebridge Builders Merchants / SBM. By placing an order through our website, by telephone, by email, in branch, or through a trade account, the customer agrees to these Terms & Conditions.

2. Customers

We supply both business customers and consumers. Certain rights and obligations may differ depending on whether the customer is buying as a business/trade customer or as a consumer.

3. Product Information

We take reasonable care to ensure product descriptions, images, dimensions, specifications and availability are accurate. Images may be for illustration only and product packaging, shade, finish or appearance may vary. Customers must ensure products are suitable for their intended use before purchase.

4. Prices

Prices are displayed in pounds sterling. SBM is currently not VAT registered and no VAT is charged at this time. Once SBM becomes VAT registered, VAT will be charged and displayed in accordance with applicable VAT rules. Prices may change without notice before an order is accepted.

5. Quotations

Unless otherwise stated, quotations are valid for 14 days from the date of issue. A quotation does not reserve stock unless confirmed in writing. We reserve the right to correct genuine clerical, typographical or pricing errors before accepting an order.

6. Orders and Acceptance

An order is an offer to purchase goods. We reserve the right to accept or reject any order. Order acceptance occurs when we confirm acceptance, dispatch goods, make goods available for collection, or otherwise confirm that the order is being processed.

7. Payment

Payment is required in full unless the customer has an approved trade credit account. Payment methods may include card payment, Apple Pay, Google Pay, secure payment link, bank transfer and any other payment method displayed at checkout or agreed by us.

8. Trade Credit Accounts

Trade credit accounts are subject to application, approval, credit checks, limits and payment terms. We may reduce, suspend or withdraw credit at any time. Goods supplied on credit remain subject to our retention of title provisions.

9. Late Payment

For business customers, overdue sums may attract statutory interest and reasonable recovery costs where applicable. We may suspend further supply, cancel outstanding orders and withdraw credit facilities if payment is overdue.

10. Delivery

Delivery is subject to address validation, access, vehicle suitability, stock availability and route planning. Delivery dates and times are estimates unless expressly agreed in writing. Delivery is normally to kerbside or to a safe accessible point on the customer’s private property. Goods will not be carried inside buildings or beyond the agreed delivery point.

11. Access and Unloading

The customer must ensure safe, suitable and lawful access for delivery vehicles. If delivery cannot be completed due to access issues, absence of customer, unsafe conditions or incorrect information, a redelivery or cancellation charge may apply.

12. Collection

Where click and collect is available, goods may be prepared for collection within the stated timeframe where stock is available. Customers should wait for confirmation before travelling to collect.

13. Inspection on Delivery or Collection

Customers must check goods upon delivery or collection. Any visible damage, shortage or discrepancy should be noted on the delivery note and reported within 24 hours. Signing a delivery note confirms receipt of goods as listed, subject to any written exceptions noted at the time.

14. Risk

Risk in the goods passes to the customer when the goods are delivered or collected. For consumer distance sales, statutory consumer rights continue to apply.

15. Retention of Title

Title to goods remains with Stonebridge Builders Merchants Ltd until payment is received in full. Where payment is overdue, we reserve the right, subject to applicable law, to recover goods supplied and the customer shall grant reasonable access for this purpose.

16. Returns

Returns are subject to our Returns & Refunds Policy. Special order goods, cut-to-size items, mixed materials, opened or damaged products, and goods unsuitable for resale may not be returnable unless faulty or otherwise required by law.

17. Faulty Goods

If goods are faulty, incorrectly supplied or not as described, customers should contact us as soon as possible with details and evidence. We will assess the issue and provide a remedy in line with applicable law.

18. Cancellations

Consumer cancellation rights for online, telephone or distance orders apply where required by law, subject to exclusions. Business/trade cancellations are subject to our agreement and may incur restocking, handling or supplier charges.

19. Liability

We are not liable for indirect losses, loss of profit, loss of business, delay costs, labour charges, contractor charges or consequential losses except where liability cannot be excluded by law. Customers must check goods before use or installation.

20. Use of Goods

Customers are responsible for ensuring goods are suitable for their intended purpose, installed correctly and used in accordance with manufacturer instructions, building regulations and relevant standards.

21. Website Use

Customers must not misuse the website, interfere with security, attempt unauthorised access, scrape content, upload harmful code or use the website for unlawful purposes.

22. Account Security

Customers with online accounts are responsible for keeping login details secure and notifying us immediately of unauthorised use.

23. Force Majeure

We are not responsible for delays or failure caused by events outside our reasonable control, including supplier delays, vehicle breakdown, extreme weather, strikes, shortages, IT outages or regulatory restrictions.

24. Governing Law

These Terms & Conditions are governed by the laws of England and Wales. The courts of England and Wales shall have jurisdiction, subject to any mandatory consumer rights.
